Is this portal a government body?

No. The portal is a private service by IAG. It is not connected to the state formation portal and does not transmit applications to authorities. The submission is made by you or your authorised representative.

Which legal forms are there?

The Companies Law provides for the general partnership, the limited partnership, the silent partnership, the limited liability company and the joint-stock company. An LLC needs at least two shareholders; with one founder, the single-member LLC comes into consideration. Anyone who operates alone and without a company registers as a sole trader in the commercial register.

Can foreigners form a company in Syria?

The Investment Law treats Syrian and non-Syrian investors equally and states no limit on shareholding. Whether an LLC needs a Syrian co-shareholder is reported in conflicting ways; register practice in 2025 shows companies that are wholly foreign-owned. What is supported: registers with a non-Syrian owner or shareholder may not carry commercial agencies, and a sole trader register of a non-Syrian may not include import.

How high is the minimum capital?

The law does not state a minimum capital; it is set by ministerial decision. For the LLC, 50 million old pounds are consistently cited for 2025/2026, which by calculation is 500,000 new pounds. An official publication in new pounds is not documented. Payment is made within 30 days of the approval decision, or at least 40% immediately and the remainder within one year.

Can I form a company online?

Since 7 July 2026 the state portal comreg.itcp.gov.sy has offered formation for all types of company: enter data, upload documents, track the status. A user name and password are only issued on a personal visit in Damascus or at the companies department of the province. Remote identification has only been announced so far.

How do I form a company from abroad?

Through an authorised agent with a certified special power of attorney. Syria is not an apostille state: foreign documents need legalisation by the Syrian mission abroad and the Syrian Ministry of Foreign Affairs, plus a sworn Arabic translation. For German documents, final certification by the Federal Office for Foreign Affairs (Germany) is also required.

How long does a formation take?

According to the Companies Directorate, initial registration via the state portal takes no more than five working days if data and documents are in order. Law firms estimate the total duration of an LLC formation at 15 to 25 working days. Neither IAG nor this portal can give any assurance as to duration.

Which fees apply?

Official formation fees are not reliably documented; the figures in secondary sources contradict each other. A fee increase of 5 January 2026 was revoked again on 7 January 2026. IAG service costs are separate from these and are quoted individually.

Do I already need business premises?

Every company needs a registered office in Syria. Companies with share capital may state a provisional registered office for six months at formation. Leases must run for one calendar year, with a clear start and end.

How many activities may the company have?

Per commercial register, a maximum of five dissimilar activities is permitted, each with a code from the official classification of economic activities. Import and export must be stated expressly in the objects. For supervised sectors such as banking, insurance, currency exchange or security services, prior approval is required.

What comes after registration?

Opening the tax file at the finance directorate, chamber membership, registering employees with social insurance, annual renewal of the commercial register and the tax return (for LLCs and joint-stock companies by 30 June).
